Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the CleverlyAI mobile application, website, and related services (the “Service”), operated by CLEVERLYAI INC. (“CleverlyAI,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use CleverlyAI.
Our Privacy Policy explains how we collect, use, store, and share information, including information from connected services.
1. Eligibility & Age Requirements
You must be at least 13 years old to create a CleverlyAI account. We do not knowingly allow anyone under 13 to use the Service, whether they sign up themselves or are added by a school.
In some countries the minimum age is higher. Where the age of digital consent where you live is above 13, that higher age applies to you instead.
We ask for your date of birth when you create an account so we can apply the right protections to it. Giving a false date of birth is a breach of these Terms and may result in suspension of your account.
If you are under 18
You may use the Service, and your account carries additional protections that cannot be switched off. These include limits on how other users can find you and the removal of cash referral rewards.
You cannot buy a subscription yourself. A paid plan on an account held by someone under 18 must be purchased by a parent or legal guardian, or provided by a school or district under a separate agreement. See Section 5.
If you are under the age of majority where you live, you represent that you have permission from a parent or legal guardian to use the Service and to agree to these Terms on your behalf.
Parents and guardians
A parent or legal guardian may link to a student's account, pay for that student's subscription, and end either the link or the subscription at any time. Linking is consented to by both sides and can be revoked by either of them.
A guardian link shows a guardian the student's academic progress — coursework, deadlines, grades and attendance, according to the scope chosen when the link was made. It does not give a guardian access to the student's notes, uploaded files, or conversations with our AI assistant. Paying for a subscription does not widen this scope.
2. Purpose of the Service
CleverlyAI provides AI-powered tools intended to support learning, studying, and understanding educational material.
The Service is a supplementary tool and is not a replacement for professors, schools, or independent academic work.
3. AI Output Disclaimer
- AI-generated responses may be inaccurate, incomplete, or outdated
- Outputs should be independently verified
- Outputs do not constitute professional, legal, academic, or medical advice
Use of AI-generated content is at your own risk.
Using AI responsibly
Lev.E and the other AI features in CleverlyAI are computer programs, not people. They do not know you, they are not a friend, a professor, a doctor, or a counsellor, and they can state something wrong with complete confidence. Always check anything that matters against your course materials or a real person.
Do not put information into the Service that you would not want stored — passwords, financial details, or anyone's private information, including your own address or phone number.
If you are struggling or in crisis, talk to a real person. Contact a trusted adult, your school counsellor, or a local emergency or crisis line. Our AI is not a source of help in an emergency and must not be used as one.
We may screen AI conversations for unsafe content and may block a response, end a session, or suspend an account. Any such screening is automated and imperfect, so it is not a substitute for the judgment described above.
4. User Accounts
- Provide accurate information
- Keep your account credentials secure
- Accept responsibility for all activity under your account
We may suspend or terminate accounts that violate these Terms.
Emails we send you
When you create an account you are asking us to run a study service for you, and part of running it is telling you things: that an assignment is due, that a deck has finished generating, that your streak ends tonight, that a feature you would use now exists. By creating an account you agree that we may send you these messages at the address you signed up with.
You can stop them at any time. Every email carries a one-click unsubscribe link that works without signing in, and that page offers to stop all of them at once. You can also choose exactly what reaches you in your notification settings. We do not sell or rent your email address, and we do not send you other companies' advertising.
Billing notices and security alerts are the exception and are sent regardless, because they concern your money and the security of your account. If you do not want to receive them, close your account.
5. Subscriptions & Payments
- Pricing, features, and billing terms are disclosed at checkout
- Subscriptions automatically renew unless cancelled before the renewal date
- Payments are processed through third-party payment providers
Who may purchase
You must be 18 or older to buy a subscription. By starting checkout you confirm that you are 18 or older and that the payment method is yours to use.
There are three ways an account can hold a paid plan:
- You pay for yourself. Available to account holders aged 18 and over.
- A parent or legal guardian pays. A student under 18 can invite a parent or guardian, who creates their own account, accepts the link, and purchases the plan. The guardian is the customer: they own the payment method, the billing relationship, and the right to cancel.
- A school or district pays. Access is provided through the institution's own agreement with us, and the student is never charged.
If a guardian ends the guardian link, the subscription they purchased continues until they cancel it — ending a link is not a cancellation, and cancelling is not a way to end a link. The two are managed separately.
If a school begins covering a student who already has a guardian-purchased plan, we will not charge for both. The school's coverage takes precedence and we will cancel the guardian's renewal.
When an account holder turns 18, they may take over billing for their own account.
We reserve the right to change subscription prices, features, or billing structures at any time.
If a price change applies to an existing subscription, we will provide reasonable advance notice of at least 7 days, where required by applicable law.
If a price change has been announced prior to your subscription purchase, your subscription may renew at the updated price on the announced effective date, even if the checkout page displays the current price.
No refunds are provided unless required by applicable law.
6. Acceptable Use
You may not use the Service for or in connection with:
- Violating laws or regulations
- Exploiting, reverse-engineering, or disrupting the Service
- Fraud, impersonation, or harm
Violations may result in restricted or terminated access.
7. Intellectual Property
All CleverlyAI software, branding, and content are owned by CleverlyAI Inc. or its licensors.
You may not copy, modify, distribute, or resell any part of the Service.
8. Academic Integrity & Responsible Use
- You may not submit AI-generated content as your own where prohibited
- Cheating, plagiarism, and misrepresentation are strictly prohibited

You are solely responsible for how you use CleverlyAI.
9. No Responsibility for Consequences
CleverlyAI is not responsible for any consequences arising from your use of the Service, including academic penalties, loss of grades, disciplinary action, suspension, expulsion, or rejection by institutions.
10. Third-Party & Connected Services
The Service may rely on or link to third-party services. CleverlyAI is not responsible for third-party content, actions, or policies.
You may optionally connect a third-party service, including Google Calendar. By doing so, you represent that you are authorized to use the connected account and instruct CleverlyAI to identify that account; access its Calendar list, settings, and events; and perform the synchronization actions you select in Connections. Those services remain governed by their own terms and policies.
While Google Calendar is connected, events synchronized into CleverlyAI are available to Lev.E. When you use Lev.E, relevant upcoming event details may be processed by OpenAI solely to generate your requested response, including when your request is not specifically about your schedule.
You can change synchronization choices or disconnect a service at any time. Our handling of information received from Google APIs is described in our Privacy Policy and is subject to the Google API Services User Data Policy, including its Limited Use requirements.
11. Termination
We may suspend or terminate your access for violations, security reasons, or at our discretion. Upon termination, your right to use the Service ends immediately.
12. Limitation of Liability
To the maximum extent permitted by law, CleverlyAI Inc. shall not be liable for indirect, incidental, consequential, or punitive damages.
Total liability shall not exceed the amount paid by you in the prior 12 months.
13. Indemnification
You agree to indemnify and hold harmless CleverlyAI Inc. from claims arising from your use of the Service or violation of these Terms.
14. Governing Law
These Terms are governed by the laws of Ontario, Canada.
15. Changes to Terms
We may update these Terms at any time. Continued use constitutes acceptance of updated Terms.
16. Account Use & Access
Each account is intended for use by a single individual only. Account sharing is prohibited.
We reserve the right to restrict, suspend, or terminate accounts used by multiple individuals, without refund.
